In the matter of

THE INDIAN CONVOKE.

At this extra ordinary meeting of this Association held on 4TH JANUARY 2001 at KAMPALA INSTITUTE (BUGANDA ROAD), it was resolved as follows:


i. We the initial members of the Indian Convoke resolved as on this day to elect an interim executive that will serve and see the take off of this association till when members see it suitable to elect a new executive as per the constitution.



ii. That the drafted constitution be legitimised henceforth enacted.


We certify that the above is a true reflection of what was resolved in the extra ordinary meeting held on 4TH JANUARY 2001.>

DEFINITION OF THE PREAMBLE.



We the members of the Indian convoke, realising the need for a more effective and democratic representative capacity at this convoke, and realising the need for the existence of mutual co-operation between the executive and the entire members hereby on this4. day of January 2001 enact this constitution with a view of making our convoke a beneficial and successful organisation.



ARTICLE 1: NAME


The name of this organisation shall be The Indian Convoke (Hereafter the Indian Convoke).


ARTICLE 2: GUIDING PRINCIPLES


a) This constitution, shall be the supreme and binding authority of the Indian Convoke, and if any resolution, decision of policy is inconsistent with this constitution, this constitution shall prevail and the resolution, decision, or policy shall to the extent of the inconsistency, be null and void.

b) The basis of members life at the Indian Convoke shall be the principles of democracy. It shall be the obligation of all members to abide by the decisions of the majority at the general meeting duly constituted.


ARTICLE 3: OBJECTIVES


The objectives of the Indian Convoke shall mainly be categorised as Social, Economic and Education & Cultural:

Social Objectives
a) Revive the sense of togetherness through social gatherings.

b) Having a common obligation to helping members in times of need.

c) Establishing a social center.

d) Enhancement of social skills, careers, interactive abilities and the status Quo of members.

e) Provide counseling services to members where need be.

Economic Objectives

a) To tackle the issue of unemployment, which is a biting factor today. To help members overcome under employment, or lack of comfortability at their respective jobs. The aim is to enhance members financial standing in our society.

b) To create and teach a culture of business acumen in members. To speculate investment opportunities, give advice on investment ventures, teach entrepreneurial skills to members.

c) To create a culture of saving.

d) To create marketing awareness in today` s settings

e) To create a group of forecast planners, sharpen our administrative abilities and investment attributes.

f) To create a link between export and import promotions globally.

g) To encourage members create projects, appraise projects, and give proposals.

h) To create a fund that can be used in investment opportunities, business or later-on become a profit investment venture in form of a limited company, society etc


Educational and Cultural Objectives.

a) To organise workshops, conferences and seminars.

b) To encourage members take advance courses.

c) To create communication plans and create links with various institutions to enable members strengthen their academic careers on both local and international scenes.

d) To enable members appreciate their educational background, strengthen their attitudes towards their qualifications as seen by the Ugandan society.

e) To encourage members to clearly identify the selling of academic opportunities in this highly rated technological era.

f) To help aspiring students to go to India and connect them easily to worthwhile Institutions, and also look into the problems students face while in India.


ARTICLE 4: MEMBERSHIP


a) Membership shall be open to all people who are and have been in India and all well wishers.

Members will be those who have paid the membership fee and annual dues for the current year. (Member rate)

Membership fee will be 30,000/= (Thirty thousand shillings) payable once.

Annual subscription will be 28,000/= (Twenty eight thousand shillings) paid in full or quarterly installments of 7,000/= (Seven thousand shillings.)


Rights and Privileges

i. Each member may cast one vote on any issue presented to the
Indian Convoke.

ii. Any member may participate in the activities at the member-rate, vote,
hold office and serve on committees.

iii. An individuals member rate in the Indian Convoke will terminate upon failure to pay the annual dues.


ARTICLE 5: OFFICE OF THE SPEAKER


a) There shall be an office of the Speaker.

b) The Speaker shall be appointed at the first executive meeting following the general elections of the cabinet.

c) He / She shall have powers to do any other act so authorised to do under this constitution.

d) A vote of no confidence in the Speaker may be moved by a petition signed by one third of the members.

Duties of the Speaker:

i) Shall have power to call and chair all general and emergency meetings as provided by article 8 of this constitution.

ii) Shall mediate between the executive and the members of the organisation.

iii) Shall stand in, in case of resignation of the entire cabinet and shall conduct elections to fill up the resigned posts there after.


ARTICLE 6: EXECUTIVE OFFICE


a) The officers of this organisation shall be a Chair, a Vice Chair, a Secretary, Vice Secretary/ Publicity Secretary ,a Treasurer, a Vice Treasurer.

b) Terms of office

i. The Chair, Vice Chair, Secretary, Publicity Secretary, Treasurer, Vice Treasurer shall each be elected for a term of two years.

ii. Officers will cease their term of office at the end of the annual general meeting following their two year term of office.

iii. Officers may stand for election for a second term of office but will stand down after two full terms.

c) Vacancies

i The Vice-chair shall immediately become Chair upon the resignation of the Chairman for the remaining term she/he was initially elected to serve.

ii A vacancy of the Vice-chair, Secretary or the Treasurer position may be filled for the balance of the term thereof by special appointment of the Indian Convoke steering committee.

d) Duties of the Chair

i Shall be the head of the executive and shall act as the leader and the spokes man where circumstances warrant him or her to so o act.

ii Appoint annually with the approval of the Indian Convoke steering committee such standing committees or working parties as may be required to carry out the purposes of the organisation.

iii Perform other duties as are necessarily incident to the office of the chair and as may be prescribed by the Indian Convoke steering committee.

iv Shall preside over and conduct all meetings of the executive

v Shall have powers to make emergency decisions in consultation with at least two members of the cabinet.

vi Shall co-ordinate all the activities of the executive and shall be answerable to the members in the general meeting or any other meeting lawfully constituted.

vii May call meetings at a twenty-four hour notice.

e) Duties of the Vice-Chair

i. Perform the duties of the Chair in the event of the Chair`s temporary disability or absence from meetings, or if the Chair becomes ineligible to hold office.

ii. Responsible for co-ordinating local arrangements and promotion for the annual meeting and other Indian Convoke meetings and workshops.

iii. Complete assignments as delegated by the Chair.


f) Duties of the Secretary

i. Take and distribute minutes of the annual and special membership meetings, and of the India convoke Steering committee meetings.

ii. Disseminate to the members at appropriate intervals through out the year.

iii. Perform other duties as are necessarily incident to the office of secretary as may be prescribed by the Indian convoke steering committee.

g) Duties of the Treasurer

i. Collect subscription fees, membership fees and other monies and maintain the organizations bank account(s) as required.

ii. Keep an account of all monies received and expended and make disbursements as authorised by the Indian Convoke steering committee. Present an annual report of accounts duly audited by independent auditors as appointed by the Indian Convoke steering committee.

iii. Maintain a current list of members and a directory of their contact details.

iv. Deliver over to his/her successor or to the Chair all books, monies, and other property at the expiration of his/her term of office.

v. Perform other duties as are necessarily incident to the office of Treasurer as may be prescribed by the Indian Convoke steering committee.



ARTICLE 7: INDIAN CONVOKE STEERING COMMITTEE


a) The Indian Convoke Steering Committee shall consist of the six executive officers and between six to fourteen members of the organisation elected at large to represent a spectrum of the user population. Indian Convoke steering committee meetings are open to all interested parties.

b) Duties of the Indian Convoke Steering Committee

i. Exercise the powers of the organisation when it is not in session, reporting to its members thereon at the succeeding meeting or via the Indian Convoke electronic mail list.

ii. Organise and promote the Indian Convoke annual meeting and other meetings or workshops as required or identified by the members.

iii. Approve appointments made by the Chair to other such standing or special committees as may be required to carry out the purpose of the Indian Convoke.

iv. The steering committee may co-opt ex-officio members to further the needs of the Indian Convoke at any time.

c) Terms of office for steering committee members

The members shall initially elect six to fourteen Indian Convoke members to serve on the Indian Convoke Committee for a two-year term.

d) Vacancies of steering committee members

A vacancy of a steering committee member may be filled for the balance of the term thereof by co-option of the Indian Convoke committee.


ARTICLE 8: MEETINGS


a) The Indian Convoke steering committee shall have a regularly scheduled meeting in conjunction with the annual membership meeting.

b) The Indian Convoke steering committee shall meet upon call of the Chair or on demand by a majority of the membership, in accordance with the fulfillment of the purpose of the organisation.

c) Four members of the Indian Convoke steering committee shall constitute a quorum for the transaction of business


ARTICLE 9: MEMBERSHIP MEETINGS


a) Number of meetings

i. There shall be an annual meeting held at a site and time selected by the Indian Convoke Steering committee.

ii. Special meetings may be called by the Chair or by a written request of 25% of the official registered members of the Indian Convoke.

iii. Meetings and workshops may be held at any time, but no official business of this organisation is conducted unless called as special meeting in accordance with Article 9.section a.ii.


b) Notice of Meetings

Notice of any meetings shall be distributed to each member by the Secretary with a statement of the time and place and containing information as to the agenda.

c) Power

All members present at membership meeting shall have by majority to:

i. Adopt rules and agenda for governing membership meetings.


ii. Refer any matter to the Indian Convoke steering committee, including recommendations for action, and may request the Indian Convoke steering committee to report on such matters at a future meeting of the organisation.


ARTICLE 10: SPECIAL COMMITTEES


a) Special committees and working groups.

b) Committees shall serve to the completion of appointed task.

c) The Chair subject to the approval of the Indian Convoke steering committee appoints committee members and chairs meetings of respective committee leaders.

d) All committees shall report directly to the Indian Convoke Steering committee


ARTICLE 11: NOMINATIONS AND ELECTIONS


a) Nominations

i The membership shall nominate candidates for the offices of Chair, Vice-Chair, Secretary, Vice Secretary/ Publicity Secretary, Treasurer, Vice Treasurer and for the members on the Indian Convoke Steering committee

ii The Secretary will seek nominations at least two months prior to the annual meeting.

iii Nominations may be submitted in writing to the steering committee for 15 days after the announcement of the intent to seek nominations.

iv No name shall be placed on the ballot without the written consent of the person being nominated.

v The Steering Committee will advertise the final candidates to the membership no later than 15 days before the annual meeting.

b) Election

i The steering committee shall appoint an Electoral Committee.

ii The Secretary of the Electoral Committee will distribute ballots to the members on the day of the election.

iii The ballots will be due back to the Chair of the Electoral Committee on the day of assembly

iv The ballots will be tallied by the Chair of the Electoral Committee and verified by its Vice-Chair.

v All candidates will be elected by the majority vote.

vi The Chair of the Electoral Committee will announce the results at the annual membership meeting.

vii New officers will take office immediately upon adjournment of the annual membership meeting.


ARTICLE 12: RESIGNATION


a) In case a cabinet member wishes to resign he or she shall give the Chair
a ten days notice of his intention to resign.

In case of a cabinet member resigning his post, the Chair shall delegate that members power and duties to any of the remaining executives until a by-election is held to fill the vacancy.

b) If there is an occasion for resignation of the executive to be tendered, the Chair shall tender the resignation of the executive collectively to the members through the Speaker and the members may thereupon accept the resignation. In such a case the Speaker shall be obliged to form a caretaker executive until elections are held in accordance with article 11 of this constitution.


ARTICLE13: AMENDMENTS


The Constitution of the Indian Convoke may be amended, repealed or altered in whole or in part by official ballot only. Amendments to the constitution require a majority vote of the members.

ARTICLE 14: CONVOKE FUND


a) There shall be a finance pool for the members hereafter called the convoke fund.

b) Sources of revenue to the convoke shall include:

i. Annual subscription from members of the Indian Convoke.

ii. Fundraising activities of the Indian Convoke.

iii. Grants, donations and trusts.

iv. Interests and profits from The Convoke property capital.

vi. Any legal entitlement.


ARTICLE 15: DISCIPLINE


a) Any member of the executive who is found, by the same, guilty of neglect of cause, or of defiance of duties of executive members may be suspended from office by the Chair upon the recommendations of the executive and the Chair shall explain to the members the reasons for such suspension in writing.

b) A vote of no confidence in the Chair or any other members of the executive or the executive as a whole may be moved by a whole or signed by at least one quarter of the members.

c) The Speaker shall call a general meeting within two days after the presentation of such a vote, and shall preside over the elections.

d) The quorum for such meeting shall be one third of the total members entitled to vote.

e) The motion of no confidence shall be carried by three-quarters of the members present and the voting shall be by secret ballot.



ARTICLE 16: MISCELLANEOUS


a) Membership fees

i Persons who wish to join the Indian Convoke shall be required to pay membership fee and the annual dues for the current year. Only those who have paid shall be eligible to elect an official of the Indian Convoke as defined in article 11 of this Constitution.

ii The Indian Convoke Steering committee shall determine the amount of the membership fee annually.

b) Distribution of membership information

i Each member will receive only one copy of any ballots, minutes, questionnaires, announcements, or other Indian Convoke communication. This copy will be sent to the Indian Convoke members. Communication will also be listed on the Indian convoke electronic mail list.

ii Updates to the Membership Directory will be distributed annually to members

iii Distribution of information to the members may be accomplished by normal mail delivery, by fax delivery, by electronic mail, and /or other means as appropriate.
